Welcome to Syndicate Wines. These Terms of Service ("Terms") govern your access to and use of the website syndicate-wines.com (the "Site"), including any content, functionality, and services offered on or through the Site. Syndicate Wines is operated by WGG Enterprises, LLC.

Please read these Terms carefully before you start to use the Site. By accessing, browsing, or using this Site, including making a purchase, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Return & Refund Policy, all of which are incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Site.

1. Legal Age Requirement

This Site and the sale of wine are intended for use by individuals who are 21 years of age or older. You are not permitted to use this Site or purchase alcohol if you are under the legal drinking age in the United States.

By using this Site and/or placing an order, you are representing and warranting that you are at least 21 years of age and that the person receiving any shipment of alcoholic beverages from Syndicate Wines is also at least 21 years of age. You are responsible for ensuring that an adult 21 years of age or older with valid identification is present to sign for and receive any wine deliveries.

We reserve the right to refuse service, terminate accounts, or cancel orders in our sole discretion if we believe this policy is being violated.

2. Intellectual Property Rights

The Site and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Syndicate Wines, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

The name "Syndicate Wines," our logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Syndicate Wines. You must not use such marks without our prior written permission.

3. Use of the Website

We grant you a limited, non-exclusive, revocable license to access and use the Site for your personal, non-commercial use. You agree not to:

  • Use the Site in any way that violates any applicable federal, state, local, or international law or regulation.

  • Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Site.

  • Use any robot, spider, or other automatic device, process, or means to access the Site for any purpose, including monitoring or copying any of the material on the Site.

  • Introduce any viruses, trojan horses, worms, or other material that is malicious or technologically harmful.

5. Purchases, Payments, and Sales

  • Order Acceptance: We reserve the right, at our sole discretion, to refuse or cancel any order for any reason. Your receipt of an order confirmation does not signify our acceptance of your order.

  • Pricing: All prices are listed in U.S. dollars. Prices and availability of our wines are subject to change without notice.

  • Payment: We accept major credit cards through our secure third-party payment processor. By submitting your order, you represent and warrant that you are authorized to use the designated payment method.

  • Sales Tax: We are required to collect applicable sales tax on all orders shipped within California and to other states where required by law.

  • Returns & Refunds: All sales are subject to our Return & Refund Policy. As outlined in that policy, all wine sales are final. We will only offer a replacement or store credit for products that are damaged in transit or confirmed to be flawed, according to the procedures set forth in that policy.

6. Shipping and Delivery

Title and risk of loss for all products pass to you upon our delivery of the items to the carrier. We are not responsible for any damage, loss, or delay that occurs after the wine has been handed over to the shipping carrier. Shipping is subject to state-specific restrictions. 7. Disclaimer of Warranties

THE SITE, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER SYNDICATE WINES NOR ANY PERSON ASSOCIATED WITH SYNDICATE WINES MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SITE.

8. Limitation of Liability

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL SYNDICATE WINES, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SITE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SITE, OR THE PURCHASE AND USE OF OUR PRODUCTS. OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER, AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US FOR THE PRODUCT(S) AT ISSUE.

10. Governing Law and Jurisdiction

All matters relating to the Site and these Terms shall be governed by and construed in accordance with the internal laws of the State of California without giving effect to any choice or conflict of law provision.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Site shall be instituted exclusively in the federal courts of the United States or the courts of the State of California located in Napa County.
